Terms of Service

Words whose initial letters are capitalized have the meanings set out below. These definitions apply whether they appear in singular or plural form.

Company

refers to AEGIS (also "We", "Us" or "Our"), Tripureshwar, Kathmandu, Nepal.

Service

refers to the Website and all related features, including product browsing, search, AI product assistance, quotation requests, accounts and orders.

Website

refers to AEGIS Nepal, accessible from www.aegishealthnepal.com.

Account

means a unique account created for You to access parts of the Service, including order history and quotation requests.

Goods

means the medical equipment, devices, consumables and related products offered for sale or quotation through the Service.

Order

means a request by You to purchase Goods from Us through the Service.

Quotation

means a written price proposal We issue in response to a request You submit through the Service.

You

means the individual accessing or using the Service, or the organisation on whose behalf that individual is acting.

AEGIS supplies medical equipment, hospital furniture, ICU and critical care systems, laboratory equipment, home care products and related consumables to hospitals, clinics, institutions and individuals across Nepal.

You must be at least 18 years of age, or the age of legal majority in Your jurisdiction, to create an Account, request a Quotation or place an Order. If You use the Service on behalf of a hospital, clinic, company or other organisation, You represent that You are authorised to bind that organisation to these Terms.

Certain Goods offered through the Service are professional medical devices intended for use by qualified healthcare professionals or institutions. You are responsible for ensuring You hold any licences, registrations or approvals required to purchase and operate such Goods.

You may create an Account to track quotation requests and orders. When You create an Account, You must provide accurate, current and complete information and keep it updated.

You are responsible for safeguarding Your password and for all activity that occurs under Your Account. Notify Us immediately at contact@aegishealthnepal.com if You become aware of any unauthorised use of Your Account.

We may suspend or terminate an Account that violates these Terms, is used fraudulently, or that We reasonably believe presents a risk to the Service or to other users.

The Service offers the option to sign in or create an Account using Your Google account. When You choose to continue with Google, Google shares a limited set of information with Us — typically Your name, email address, language preference and profile picture — so that We can create and secure Your Account.

We use this information only to authenticate You, to create and maintain Your Account, and to contact You about Your quotations and orders. We do not sell this information, and We do not use it for advertising or to build advertising profiles. Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Your use of Google’s sign-in service is also subject to Google’s own terms and privacy policy. You may disconnect AEGIS from Your Google account at any time through Your Google account security settings; doing so does not delete data already associated with Your AEGIS Account.

We work to keep product descriptions, specifications, images and prices accurate. However, specifications may be updated by manufacturers, and errors can occur. Product images are illustrative and may differ from the delivered item in colour, accessories or configuration.

Prices shown on the Website are indicative, are stated in Nepalese Rupees (NPR) unless otherwise noted, and may exclude taxes, duties, installation, training, freight and other charges. Prices and availability may change without notice.

Some parts of the Service use automated assistance to help describe products or answer questions. Such assistance is provided for convenience only and is not clinical, technical, legal or regulatory advice. Always confirm critical details with Our team before purchasing.

You may request a Quotation through the Service. Custom quotations are available for a combined quantity above two pieces across the requested items.

Submitting a request does not create a contract. A Quotation We issue is an invitation to proceed and remains valid for the period stated on it, or for 15 days if no period is stated. Quotations may be withdrawn or revised before acceptance.

We may contact You by phone, email or WhatsApp using the details You provide in order to clarify requirements and deliver the Quotation.

Placing an Order through the Service is an offer to purchase Goods. No contract exists until We confirm the Order. We may decline or cancel an Order, in whole or in part, where Goods are unavailable, where pricing or product information was incorrect, where required regulatory documentation is missing, or where We suspect fraud.

Orders placed through the Website are enquiry-based: they do not collect payment online. Our team will contact You to confirm specifications, final pricing, payment terms, lead time and delivery arrangements.

Order statuses shown in Your Account (such as New, Confirmed, Processing, Delivered or Cancelled) are provided for Your convenience and reflect Our internal handling of the Order.

Payment terms, delivery timelines, installation and commissioning arrangements are agreed in writing for each confirmed Order and may vary by product, brand and destination within Nepal.

Delivery dates are estimates. We are not liable for delays caused by manufacturers, freight carriers, customs clearance, or events outside Our reasonable control.

Unless otherwise agreed in writing, risk in the Goods passes to You on delivery, and title passes only once We have received payment in full.

Goods carry the warranty offered by their manufacturer or principal, as stated on the applicable Quotation, invoice or warranty document. Warranty claims are handled in accordance with those terms.

Warranty does not cover damage caused by misuse, unauthorised repair or modification, improper installation, power irregularity, neglect, accident, or use outside the manufacturer’s stated conditions.

Sterile items, consumables and made-to-order or specially imported Goods are generally non-returnable. Report any damage or shortage in a delivery to Us within 7 days of receipt.

When using the Service, You agree not to:

• Use the Service for any unlawful purpose or in breach of any applicable regulation.
• Submit false, misleading or fraudulent quotation, order or contact information.
• Attempt to gain unauthorised access to any part of the Service, accounts or systems.
• Introduce malware, or interfere with or disrupt the Service or its infrastructure.
• Scrape, harvest, copy or resell product data, images or content without Our written permission.
• Misuse the AI assistant, including attempts to extract non-public data or to generate harmful content.
• Impersonate any person or organisation, or misrepresent Your affiliation with one.

The Service and its original content, features, layout, design and functionality are and will remain the exclusive property of AEGIS and its licensors, and are protected by applicable copyright and other laws.

Manufacturer names, brands, logos and product images remain the property of their respective owners and are used to identify the Goods We supply. Nothing in these Terms grants You a licence to use Our trademarks or those of third parties.

Where the Service allows You to submit reviews, questions or other content, You confirm that the content is Your own, accurate, and does not infringe anyone’s rights or applicable law.

You grant Us a non-exclusive, worldwide, royalty-free licence to use, display, reproduce and adapt such content in connection with the Service. We may review, moderate, publish, decline or remove submitted content at Our discretion.

The Service may contain links to third-party websites or use third-party services, such as messaging platforms, analytics providers or authentication providers. We do not control, and are not responsible for, the content, policies or practices of those third parties. Your use of them is governed by their own terms.

Content on the Service is provided for general information about the Goods We supply. It is not medical advice, diagnosis or treatment guidance, and it does not replace the instructions for use, service manuals or training provided by the manufacturer. Clinical decisions and device operation remain the responsibility of qualified healthcare professionals.

To the maximum extent permitted by applicable law, AEGIS and its directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or business interruption, arising out of or in connection with Your use of the Service.

Our total liability arising out of or relating to these Terms or the Service will not exceed the amount You paid to Us for the Goods giving rise to the claim.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any information presented is complete or current at all times. This does not affect any warranty applying to the Goods themselves.

You agree to indemnify and hold harmless AEGIS and its officers, employees and agents from any claims, damages, liabilities, costs and expenses arising from Your breach of these Terms, Your misuse of the Service, or Your violation of any law or third-party right.

We may suspend or terminate Your access to the Service immediately, without prior notice, for any breach of these Terms. On termination, Your right to use the Service ceases at once. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — will survive.

These Terms are governed by the laws of Nepal, without regard to conflict of law principles. The courts of Kathmandu, Nepal have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Before starting formal proceedings, We ask that You contact Us so that We can try to resolve the matter informally.

We may update these Terms from time to time. When We do, We will revise the “Last updated” date at the top of this page and, where the changes are material, provide reasonable notice through the Service. Continuing to use the Service after the changes take effect means You accept the revised Terms.
